We’re playing in an exploding market where technology evolves daily, and our teams grow week over week. As we expand, we are looking for a motivated attorney to join our legal team. In this dynamic, multi-faceted role, you will work with the General Counsel and other executives. You will have many growth opportunities as you assume primary ownership of or assist with mission-critical functions in both domestic and international operations and sales and a variety of legal areas, including HR, compliance, and data retention and security.


    This position is great for an attorney who loves to learn new industries and new ways of doing business and who is eager to collaborate with multiple departments, partners, and external counsel/service providers to identify creative solutions to meet the company’s needs. This role will give you room to develop solid business and legal judgment across various legal areas in a fast-growing Silicon Valley startup.

    Role and Responsabilities:

    • Contract Review/Sales Support/Records Management
      • Review and negotiate sales contracts, inbound vendor contracts, and NDA
      • Maintain contract database and legal records
      • Work with Sales and Finance to finalize sales agreements, construct complex rate plans, and address ad hoc legal questions
      • Draft compensation plans for sales personnel
    • Personnel/Immigration (immigration law experience is not necessary; instead, you have the opportunity to learn)
      • Assume principal responsibility for tracking and leading immigration matters for the company’s global workforce
      • Liaise between outside immigration counsel, hiring managers, recruiters and candidates
      • Advise and update hiring managers and recruiters on immigration process
      • Lead immigration casework activities like gathering necessary information for filings (visas, green cards, H1B applications) and undertake other activities as needed (collecting labor information, making filings, etc.)
    • Compliance and Operations
      • Provide front-line oversight and management of general compliance matters including export, HR, and legal record keeping and entity management
      • Work with the internal security organization to define and administer policies, investigate incidents and advise on current legal issues
      • Provide advice to marketing and sales departments on data privacy laws
      • Administer export compliance records and screening procedures
      • Liaise with outside counsel on ad hoc compliance issues as they arise
      • Undertake and implement new projects and scalable compliance processes
      • Structure and respond to management and stockholder requests for information
      • Assist finance teams with compliance matters, including documentation for audits
      • Assume principal responsibility for administration of company stock activity, including the employee option plan
    • International
      • Provide compliance counseling to management of overseas subsidiaries
      • Review and negotiate international sales and vendor/marketing agreements
      • Provide legal support for global sales and product initiatives and liaise with local counsel
    • Employment Counseling
      • Counsel managers on a wide range of employment matters, including classification, leave, and termination
      • Assume principal responsibility for drafting documentation related to employee performance, hiring and termination
      • Liaise with outside counsel

    The above is a general description of matters handled by recent attorneys. Those with skills and interests in other areas, such as patents, etc., may be invited to assume responsibility for those areas.

    What we look for in you:

    • You have a J.D. from an accredited law school and are a member of the California State Bar
    • You should have 3 –8 years of experience, preferably in-house but not necessary
    • You are a self-starter, well organized and eager to learn / master other tools (examples include use of web-based contract databases and stock management portal)
    • You know what your limits are and know how to ask for help, but you are able to communicate your opinions with confidence
    • You are committed to working in our South Bay offices (currently in San Jose); we do not have a remote employment policy as we believe that face to face interaction is critical
    • You should be able to do some domestic and international travel for the company (1-3 times per year)
    • You have authorization to work in the US
